• Local counsel to the global chemical company in obtaining merger clearance for sale of its European operations and assets to ASK Chemicals watch and jewelry unit for about EUR 11 mln.

• Advising a large German waste processing and recycling company on financing the purchase of a Ukrainian company.

• Advising (as a Ukrainian local counsel) Royal Bank of Scotland in restructuring of ABN AMRO Bank N.V. loan portfolio (in particular in relation to consortium loans to Interpipe and Donetsksteel).

• Acting as Ukrainian law counsel for Amsterdam Trade Bank N.V. in connection with restructuring of US$26.7 million credit facility provided to Singapore borrower operating in oil and gas sector.

• Advising a German machinery producer on obtaining a loan from its non-resident mother company and registration of the loan with the National Bank of Ukraine.

• Advising German machinery producer on tax risks related to restructuring of cross-border payment obligations/debt settlement between a German production company, a Ukrainian customer and a Ukrainian subsidiary of German machinery producer.

• Providing legal advice to a German equipment vendor with international operations regarding a complex structured finance scheme for delivery of specialized equipment to a Ukrainian enterprise.

• Advising on corporate restructuring of German machinery producer subsidiary in Ukraine, including tax, currency control and customs issues for in-kind contributions (cars, equipment, etc.) from the representative office to the subsidiary company’s charter capital.

• Advising an internationally known German-based producer of water filters against unauthorized parallel imports in Ukraine.

• Advising AJW Aviation, the leading supplier and repairer of aircraft spares, in connection to Aerosvit bankruptcy.

• Advising AJW Aviation on tax consequences for return of leased engine (of total value EUR 5 mln) out of Ukraine.

• Defending the local subsidiary of a European equipment vendor in a workplace injury and wrongful dismissal claim brought by a former employee.

• Advising a leading Ukrainian construction company on the taxation of gains related to restructuring of cross-border payment obligations in the amount of EUR 2 mln between a Ukrainian group company and a subsidiary of a German DAX 30 corporation.

• Arbitration support to Swedish construction company Llentab against $1.8 million warranty claims from a Ukrainian customer before a commercial arbitration tribunal at ICC Ukraine.

• Advising a Ukrainian subsidiary of a world-renowned German domestic appliances producer, Bosch Siemens Hausgeräte, on competition matters related to vertical agreements with Ukrainian distributors, as well as on the lease of about 1.500 sq. m. of office space in Ukraine.

• Providing legal advice to a German government development aid organization on a UEFA EURO-2012 hotel infrastructure improvement project in Ukraine.
